Adani Pursues Acquisition of Pilot Training Company FSTC
Adani Group’s defence and aerospace division is reportedly eyeing the acquisition of Flight Simulation Technique Centre (FSTC), a prominent pilot training firm in India. This potential deal would mark the group’s entry into the aviation training sector and enhance its mergers and acquisitions portfolio. Established in 2012, FSTC operates multiple simulator facilities and flying schools across India, catering to both military and commercial aviation needs.
The acquisition of FSTC is expected to be facilitated through Horizon Aero Solutions, a joint venture between Adani Defence Systems and Technologies (ADST) and Prime Aero. ADST, a subsidiary of Adani Enterprises, has been actively expanding its business through strategic acquisitions. Recently, it acquired a controlling interest in Air Works, which allowed it to enter the aircraft maintenance, repair, and overhaul (MRO) sector. Additionally, ADST purchased a 50% stake in Indamer Technics, further solidifying its presence in the aviation industry.
FSTC, which has established itself as a leader in pilot training, operates four simulator facilities in Gurugram, Hyderabad, and Mumbai, along with flying schools in Haryana, Surat, and Solapur. The firm reported an operating profit of ₹124.2 crore on revenues of ₹214.5 crore for FY24, reflecting significant growth driven by investments in expanding its fleet of simulators and training aircraft.
Strategic Importance of the Defence Sector
The defence and aerospace sector holds strategic significance for the Adani Group, which plans to triple its investments in this area. Currently, the group has invested ₹5,000 crore in defence initiatives. The potential acquisition of FSTC aligns with the growing demand for trained cockpit crew, as regulations require pilots to complete a minimum number of flight simulation hours. The increasing geopolitical tensions and rising defence expenditures have further amplified the need for military pilots with advanced skills.
ADST has been actively supplying drones, loitering munitions, and other warfare systems to the Indian defence ministry. These systems were notably utilized during Operation Sindoor, a four-day conflict between India and Pakistan in May of this year. The acquisition of FSTC would enable ADST to enhance its training capabilities, thereby supporting its broader defence objectives.
Market Landscape and Competition
FSTC’s clientele includes both the Indian defence forces and commercial airlines, positioning it as a key player in the pilot training market. The competitive landscape features other training providers, such as CAE Simulation Training, a joint venture between Canada’s CAE and InterGlobe Enterprises. CAE recently announced plans for a new pilot training centre in Mumbai, anticipating a demand for 20,000 new professional pilots in India over the next decade. The Asia Pacific region is projected to require 98,000 pilots during the same period, highlighting the growing need for pilot training services.
As the aviation industry continues to recover and expand post-pandemic, the demand for skilled pilots is expected to rise significantly. The potential acquisition of FSTC by Adani Group could position the company to capitalize on this trend, further diversifying its portfolio in the defence and aerospace sector. FSTC co-founder and managing director Dilawer Singh Basraon expressed surprise at the news of the potential acquisition, indicating the significance of the deal for both companies. Meanwhile, an Adani Group spokesperson has refrained from commenting on the matter, leaving the details of the acquisition to unfold in the coming weeks.
