Tata Sons Makes History as AGM Adjourned Due to Lack of Quorum

MUMBAI: Tata Sons had to adjourn its 108th annual general meeting (AGM) on Tuesday due to a regulatory action that resulted in a lack of quorum necessary to conduct business. This unprecedented situation halted the approval of Tata Sons’ FY26 financial statements and delayed crucial equity dividend payouts for its principal shareholder, Tata Trusts. The reappointment of chairman N Chandrasekaran also remains unresolved.

The AGM commenced at 2:30 PM at Bombay House, the headquarters of the Tata Group. Chandrasekaran, who chaired the meeting, waited for 30 minutes for the required quorum. When it was not met, he announced the adjournment and stated that a new date would be communicated later. Legal experts clarified that this quorum failure does not jeopardize Chandrasekaran’s position on the board, as company law preserves the status quo until a formal vote can be held.

Tata Sons’ Articles of Association stipulate that a nominee jointly appointed by the Sir Dorabji Tata Trust (SDTT) and Sir Ratan Tata Trust (SRTT) must be present for the five-shareholder quorum. Due to a regulatory ban on SRTT, the two trusts could not make a joint nomination. The Articles allow the adjourned meeting to be reconvened on the same day the following week or on a date set by the board, but the joint nominee will still be required for quorum.

Under the Companies Act, Tata Sons has until September 30 to hold its AGM and may seek a three-month extension from the Registrar of Companies, potentially pushing the deadline to December 31. It remains uncertain whether the board will decide on a new AGM date before September 17 or defer that decision to its scheduled meeting on that day. Directors are expected to formally acknowledge Chandrasekaran’s decision not to seek another term as chairman during the September 17 board meeting.

The entire Tata Sons board attended the AGM, with key figures participating virtually. Notably absent were Leah, Maya, and Neville Tata, the children of Noel Tata and the newest shareholders of Tata Sons. Despite the regulatory challenges, Tata Sons proceeded with the AGM to meet statutory obligations. Legal experts have indicated that governance uncertainty will continue until the regulatory restrictions on SRTT are lifted or an alternative legal resolution is found.
