Tata Trusts Initiates Search for Chandrasekaran’s Successor

MUMBAI: Tata Trusts has initiated the process to find a successor for N Chandrasekaran as chairman of Tata Sons, following his announcement that he will not seek reappointment at the end of his term in February 2027. The Trusts, which hold a 51.4% stake in Tata Sons, stated that they respect Chandrasekaran’s decision. This announcement places Noel Tata, chairman of Tata Trusts and one of its nominee directors on the Tata Sons board, at the forefront of the succession planning.

Succession Planning Underway

On Thursday, the Sir Dorabji Tata Trust (SDTT), the largest shareholder in Tata Sons with a 27.9% stake, passed a resolution to establish a selection committee to recommend a new chairman. The committee is to be formed in accordance with Tata Sons’ Articles of Association. Noel Tata led a two-hour meeting with the other five trustees of SDTT to discuss the next steps.

However, the process faces a significant procedural hurdle. The Sir Ratan Tata Trust (SRTT), which holds a 23.5% stake, is currently unable to convene due to a restraining order from the public charities regulator. According to Article 118 of Tata Sons’ Articles of Association, a five-member committee must be formed to select a new chairman, requiring joint participation from both SDTT and SRTT, which together hold over 40% of Tata Sons.

Committee Formation Challenges

The formation of the committee is contingent on the lifting of the restraining order against SRTT. The committee can only convene if a majority of nominees from both trusts are present. While SDTT has commenced the succession process, it cannot proceed until the legal restrictions on SRTT are resolved. A source close to Noel Tata indicated that SRTT has requested the Maharashtra charity commissioner to lift the order but has yet to receive a response.

Chandrasekaran’s decision to step down follows reported tensions with Noel Tata regarding business policies. He communicated his decision via email to Noel and vice-chairman Venu Srinivasan on August 12, expressing gratitude for the opportunity to lead Tata Sons during a transformative decade. Tata Trusts has expressed its commitment to ensuring a smooth transition of leadership.
