Tata Sons Dispute: Chairman Tuhin Kanta Pandey Confirms SEBI’s Oversight on Developments

NEW DELHI: The Securities and Exchange Board of India (SEBI) is closely monitoring governance issues at Tata Sons, the holding company of the Tata Group. Chairman Tuhin Kanta Pandey stated that while Tata Sons is not a listed entity, its listed companies and their promoters must adhere to SEBI’s disclosure and compliance regulations. This statement comes amid ongoing discussions regarding the reappointment of N Chandrasekaran as chairman of Tata Sons and the potential for the holding company to become publicly listed.

Pandey addressed these concerns during the launch of the Bharat Chamber Investors Forum. He clarified that the regulatory requirements for Tata Sons differ from those applicable to the group’s listed companies. “At the holding company level, there are some issues, as that’s not really a listed company,” he said. He emphasized that the listed entities must comply with all Listing Obligations and Disclosure Requirements (LODR) norms.

When asked if SEBI was tracking developments within the Tata Group, Pandey confirmed the regulator’s ongoing monitoring efforts. However, he did not specify any governance violations or indicate that SEBI was contemplating any specific actions against the group. The Tata Group comprises 26 publicly listed companies, with a total market capitalization of $328 billion as of March 31, 2025.

An analysis by governance advisory firm InGovern revealed that seven of these listed companies collectively hold approximately 11.92 percent of Tata Sons. These companies include Tata Steel, Tata Motors Passenger Vehicles, Tata Chemicals, Tata Power, Indian Hotels, Tata Consumer Products, and Tata Investment Corporation. Tata Trusts is the largest shareholder in Tata Sons, holding around 66 percent, while the Shapoorji Pallonji Group owns approximately 18.4 percent.
