Parliament Panel Proposes Advance Ruling System in IBC Overhaul to Accelerate Resolutions

A Parliamentary panel in India has proposed significant reforms to the country’s insolvency framework, aiming to enhance clarity and efficiency in the resolution process. The recommendations, presented by the Parliamentary Standing Committee on Finance, include the introduction of an advance ruling mechanism and the integration of mediation as an alternative dispute resolution tool. These changes are designed to minimize litigation and streamline the handling of stressed assets under the Insolvency and Bankruptcy Code (IBC).

Advance Ruling Mechanism and Mediation Integration

The committee’s report emphasizes the need for an advance ruling mechanism that addresses critical legal or factual issues before a case is admitted under the IBC. This initiative aims to facilitate quicker case processing and reduce unnecessary delays. By providing stakeholders with clarity at the pre-admission stage, the proposed mechanism is expected to enhance the overall efficiency of the insolvency process.

Additionally, the panel advocates for the integration of mediation as a viable alternative dispute resolution method. This approach is intended to alleviate the burden on adjudicating authorities, particularly the National Company Law Tribunal (NCLT), by decreasing the number of disputes that escalate to formal litigation. The committee believes that mediation can serve as an effective tool to resolve conflicts amicably, thereby expediting the resolution of distressed assets.

Transparent Online System for Clearances

Another key recommendation from the committee is the establishment of a transparent online system for issuing ‘no dues’ certificates and statutory clearances. This system would be activated immediately following the completion of a resolution plan, ensuring that revitalized companies can commence operations with a clean slate. The panel argues that such a mechanism would enhance transparency and accountability in the insolvency process, ultimately benefiting all stakeholders involved.

Since the implementation of the IBC in 2016, a total of 1,194 companies have been resolved, with creditors recovering Rs 3.89 lakh crore—exceeding 170% of the liquidation value. These statistics highlight the effectiveness of the current framework, but the committee believes that further improvements are necessary to maintain momentum and ensure continued success in resolving insolvency cases.

Strengthening NCLT and Deterrents for Frivolous Appeals

The committee has also called for the government to expedite the establishment of additional NCLT benches and to fast-track the operationalization of the proposed Integrated Technology Platform (iPIE). This initiative aims to enhance centralized case management at both the NCLT and the National Company Law Appellate Tribunal (NCLAT). By improving the capacity and efficiency of these institutions, the panel believes that the resolution process can be significantly streamlined.

To combat frivolous litigation, the committee recommends that the Insolvency and Bankruptcy Board of India (IBBI) require an upfront deposit from unsuccessful resolution applicants who file appeals. Furthermore, it suggests imposing substantially higher penalties for such frivolous applications. These measures are intended to deter unnecessary legal challenges and promote a more efficient resolution process.

Revisiting Homebuyer Eligibility and Simplifying Procedures

In addition to the aforementioned recommendations, the committee has proposed revisiting the eligibility criteria for homebuyers and revising the waterfall mechanism that governs the priority of claims during liquidation. Simplifying procedures for distressed micro, small, and medium enterprises (MSMEs) is also a priority. The panel stresses the importance of early intervention to preserve enterprise value and emphasizes that once the NCLT approves a resolution plan, its implementation should be prompt and closely monitored. Provisions for penalizing non-compliance are also suggested to maximize stakeholder recovery.
