Kids Clinic India Expands with Apollo Fertility Acquisition
The Competition Commission of India (CCI) has given the green light for Kids Clinic India Ltd. (KCIL) to acquire up to 100% equity shareholding in both Apollo Fertility Centre Pvt. Ltd. (AFCPL) and Apollo Specialty Hospitals Pvt. Ltd. (ASHPL). This strategic move marks a significant expansion for KCIL in the healthcare sector, focusing on enhancing facilities for mother and baby care.
The approved transactions entail several key components. Firstly, KCIL will acquire full ownership of AFCPL, which is renowned for its assisted reproductive treatments. Additionally, KCIL will also take over 100% equity shareholding of ASHPL, further broadening its healthcare offerings.
In a notable aspect of the transaction, KCIL will issue equity shares and optionally convertible debentures to Apollo Health and Lifestyle Limited (AHLL). This represents a 9.9% shareholding in KCIL on a fully diluted basis, serving as part of the compensation for the Apollo acquisition. Furthermore, a portion of equity shareholding in KCIL will be issued to Arvon Investments Pte. Ltd. (Arvon) as part of the financial arrangements.
These transactions, collectively termed the ‘Proposed Combination’, will not only enhance KCIL’s capabilities but also help in improving healthcare access for families across various Indian cities. KCIL operates several super-specialty hospitals under the brand ‘Cloudnine’, offering comprehensive care in areas such as maternity, gynecology, pediatrics, and fertility. Its facilities are located in metropolitan areas including Bengaluru, Delhi NCR, Mumbai, Pune, Chennai, Hyderabad, Lucknow, Ludhiana, and Chandigarh.
AHLL, a subsidiary of Apollo Hospitals Enterprise Limited (AHEL), plays a key role in this expansion. AHLL operates a range of primary care clinics and diagnostic services and is fully owned by AHEL, a publicly listed company. AHEL is notable for its vast shareholder base, with 28.02% held by the promoter group and the remainder by public shareholders.
AFCPL specializes in fertility services, including in vitro fertilization (IVF), embryo freezing, and genetic testing, making it a vital part of the Apollo healthcare ecosystem. Meanwhile, ASHPL has diversified its offerings across multiple segments, which included Cradle, Fertility, and Spectra until June 2024.
