Noel Calls for Enhanced Oversight of Tata Sons’ Investment Strategies
MUMBAI: Noel Tata, chairman of Tata Trusts, has called for increased scrutiny of significant investments made by Tata Sons. He has requested that management present detailed business cases outlining the rationale, expected financial returns, and risks associated with capital commitments before board approval. This demand follows discussions during board meetings this fiscal year, particularly regarding a composite investment proposal exceeding Rs 23,000 crore.
The proposal included capital infusions in Air India, Tejas Networks, Tata Digital, and other Tata entities. At the June board meeting, Noel emphasized the need for formal assessments of expected financial returns and risks for substantial capital commitments, rather than merely seeking approval.
Noel Tata holds significant influence in this matter. Tata Sons’ articles of association require that investments over Rs 100 crore receive affirmative support from a majority of Trusts-nominated directors. Following the death of his half-brother Ratan Tata in October 2024, Noel took over the Trusts and is one of two nominated directors, alongside Venu Srinivasan, chairman emeritus of TVS Motor Company.
At the September board meeting, Noel reiterated his demand for detailed business cases accompanying future investment proposals. That meeting did not address any pending investment proposals but focused instead on the reappointment of Tata Sons chairman N Chandrasekaran for another five-year term and the company’s response to directives from the Reserve Bank of India (RBI).
Tensions have arisen among directors regarding governance issues and Chandrasekaran’s reappointment. Noel has challenged the validity of the board’s decision, claiming the resolution was not included in the meeting agenda, rendering it procedurally flawed. These disputes occur amid broader discussions about Tata Sons’ future, particularly after the RBI rejected the company’s application to surrender its registration as a core investment company. In response, Noel has proposed merging two Tata Sons subsidiaries with the holding company to avoid a public listing, while RBI governor Sanjay Malhotra has reiterated that core investment companies classified in the regulator’s upper layer are required to list.
