Sun Pharma’s Major Acquisition: Indian Firm to Purchase US-Based Organon in $11.75 Billion Deal

Sun Pharmaceutical Industries has made headlines with its announcement of a significant acquisition of US-based Organon & Co. The all-cash deal, valued at $11.75 billion, is one of the largest overseas acquisitions by an Indian company. Under the agreement, Sun Pharma will purchase all outstanding shares of Organon at $14 per share. The transaction has received approval from both companies’ boards and is anticipated to close in early 2027, pending regulatory clearances and shareholder approval.

Organon, a healthcare firm that was spun off from Merck & Co. in 2021, operates six manufacturing facilities across the European Union and emerging markets. The company boasts a diverse portfolio of over 70 products, focusing on women’s health, biosimilars, and general medicines, which are distributed in 140 countries. This acquisition positions Sun Pharma to enter the ranks of the top 25 global pharmaceutical companies, with projected combined revenues of $12.4 billion. Furthermore, it is set to enhance Sun Pharma’s standing as a leading player in global women’s health and the seventh-largest biosimilar company worldwide. Sun Pharma’s executive chairman, Dilip Shanghvi, emphasized the complementary nature of Organon’s portfolio and capabilities, highlighting the strategic benefits of the acquisition.

Financial Overview and Expected Synergies

In terms of financials, Organon reported a revenue of $6.2 billion and an adjusted EBITDA of $1.9 billion for 2025. The company carries a debt of $8.6 billion alongside cash reserves of $574 million. Sun Pharma anticipates realizing synergies exceeding $350 million within two to four years following the acquisition. The combined entity will operate in 150 countries, with 18 markets each generating over $100 million in revenue. This financial outlook suggests a robust integration strategy that could enhance operational efficiency and profitability for Sun Pharma.

Significance of the Acquisition

This acquisition stands out as one of the largest cross-border deals by Indian firms, joining the ranks of Tata Steel’s $12 billion acquisition of Corus in 2007 and Bharti Airtel’s $10.7 billion purchase of Zain Telecom’s African business in 2010. For Sun Pharma, this deal adds to a series of significant acquisitions, including the $4 billion takeover of Ranbaxy in 2014 and the acquisition of Taro Pharmaceutical Industries in 2007. The acquisition of Organon is expected to substantially strengthen Sun Pharma’s global presence and diversify its portfolio, particularly in high-growth sectors such as women’s health and biosimilars, marking a pivotal moment in the company’s expansion strategy.
