Wall Street Analysts Reveal AMD Stock Will Fund OpenAI’s Billions in Chip Acquisitions

After a significant announcement on Monday, AMD and OpenAI have expanded their partnership, sparking discussions about the unconventional payment method OpenAI will use for its AMD purchases. Instead of cash, OpenAI will utilize AMD’s own stock to settle the deal. This partnership involves OpenAI assisting AMD in enhancing its Instinct GPUs, which are designed to compete with Nvidia’s offerings, while also committing to a substantial purchase of compute capacity from AMD over several years.

Details of the Partnership

OpenAI’s agreement with AMD includes a commitment to refine AMD’s line of Instinct GPUs, which are positioned as competitors to Nvidia’s products. Additionally, OpenAI will acquire and deploy 6 gigawatts of compute capacity from AMD over multiple years. AMD has indicated that this deal could generate billions in revenue. However, the payment structure is notably unique. Instead of using its own funds, OpenAI will receive stock warrants from AMD, amounting to up to 160 million shares. These warrants will vest in stages as OpenAI meets specific performance milestones, including increases in AMD’s stock price.

The final tranche of these warrants is contingent on AMD’s stock reaching a valuation of $600 million per share. Prior to the announcement, AMD shares were trading around $165 but surged to approximately $214 by the end of the trading day. If OpenAI successfully meets all milestones and retains its AMD shares without selling, the stock could potentially be valued at around $100 billion.

Market Implications and Analyst Insights

UBS analyst Timothy Arcuri has provided insights into the implications of this deal. He notes that the final tranche of warrants requires AMD to achieve a market capitalization of approximately $1 trillion for OpenAI to fully benefit from its stake. While this scenario is possible, Arcuri suggests that it is more likely OpenAI will sell portions of its AMD stock over time to cover its GPU purchases. This arrangement effectively allows AMD to finance OpenAI’s significant multi-year GPU acquisition.

Despite the unconventional financing method, Arcuri emphasizes the importance of this partnership for AMD. The validation of AMD’s AI GPUs handling OpenAI’s workloads could enhance AMD’s credibility in the market. Furthermore, OpenAI’s endorsement may facilitate AMD’s efforts to sell its GPUs to various cloud service providers, expanding its market reach.

Comparative Analysis with Nvidia

The dynamics of this partnership also draw comparisons to Nvidia’s recent investments in OpenAI. Nvidia’s $100 billion investment in OpenAI last month has granted it a stake in the AI provider, contrasting with AMD’s approach. While Nvidia’s strategy has positioned it as a key player in the AI landscape, AMD’s deal, although described as “arguably less attractive,” is seen as a crucial validation of its technological roadmap.

Analysts estimate that this partnership could secure AMD a significant market share, potentially reaching 30% in the burgeoning sector of next-generation data centers. By structuring a deal that minimizes immediate costs for OpenAI, AMD is strategically positioning itself to capitalize on one of the largest expansions in data center infrastructure seen to date.

Long-term Financial Considerations

In the long run, the financial implications of this partnership may extend beyond just AMD and OpenAI. Retail and institutional investors could ultimately bear the costs of OpenAI’s GPU purchases if they drive AMD’s stock price higher. This scenario highlights the interconnectedness of the tech industry, where strategic partnerships and financial maneuvers can significantly influence market dynamics.

As AMD navigates this partnership, the company aims to leverage OpenAI’s endorsement to accelerate its adoption among other customers. The collaboration not only represents a significant step for both companies but also underscores the competitive landscape in the AI and semiconductor industries, where innovation and strategic alliances are crucial for success.
