Srinivasan and Vijay Singh Depart Tata Education Trust Following Mehli’s Opposition

Venu Srinivasan, the chairman emeritus of TVS Motor, and Vijay Singh, a former bureaucrat, are set to resign from their positions as trustees of the Tata Education and Development Trust (TEDT) effective May 11. Their departures follow a dissenting vote from fellow trustee Mehli Mistry, which has highlighted ongoing tensions within the governance structure of Tata Trusts. This philanthropic organization holds a significant stake in Tata Sons, the parent company of one of India’s largest conglomerates.

Trustees’ Departure and Governance Challenges

The resignation of Srinivasan and Singh marks a significant shift within the Tata Education and Development Trust. According to trust regulations, unanimous consent from all trustees is required for reappointments. While both Srinivasan and Singh supported each other’s continuations, Mehli Mistry’s dissenting vote was enough to end their tenures. At the time of reporting, fellow trustees Noel Tata and Jehangir Mistry had not cast their votes, which means their opinions could not influence the outcome. Following these changes, TEDT will be left with three trustees: Noel Tata and Mehli Mistry as permanent members, and Jehangir Mistry, who will serve until his term expires next year.

This is not the first time Venu Srinivasan has faced challenges within Tata Trusts. In April, he stepped down from the Bai Hirabai Trust after a complaint was lodged by Mehli Mistry with the Maharashtra charity commissioner. The complaint alleged violations of the trust’s deed, which mandates that trustees must be practicing Zoroastrians. Vijay Singh, who is also a trustee of the Bai Hirabai Trust, did not resign alongside Srinivasan.

Legal Developments and Future Meetings

In a related development, the Sir Dorabji Tata Trust (SDTT) and Sir Ratan Tata Trust (SRTT) filed caveats in the Bombay High Court and with the charity commissioner. These filings aim to ensure that no decisions are made against them without a prior hearing. This legal maneuvering comes just days before scheduled board meetings, where the future of Srinivasan on the Tata Sons board is expected to be a key topic. Tensions have been rising between Srinivasan and Noel Tata regarding the potential public listing of Tata Sons.

Additionally, a legal challenge has emerged concerning the governance of the trusts. Katyayani Agrawal, an advocate, has filed a complaint alleging that the current composition of the SRTT board violates a 2025 amendment to the Maharashtra Public Trusts Act. She has called for an inquiry into the matter. However, SRTT maintains that it is in compliance with the law, arguing that the amendment should be applied prospectively unless explicitly stated otherwise.

Calls for Corporate Accountability

InGovern Research has recently urged independent directors of seven listed Tata companies to advocate for a public listing of Tata Sons. The advisory firm warns that the boards risk neglecting their fiduciary duties to minority shareholders. The listed entities collectively hold a 12% stake in Tata Sons, which has been recorded at historical cost for over three decades. InGovern has called for periodic revaluations to reflect fair market value, emphasizing that the rationale for retaining these cross-holdings has long been based on a promise made during Ratan Tata’s leadership.

The firm highlighted that in 1995, amid scrutiny over brand-fee arrangements and capital flows, Tata Sons indicated that investing group capital in the holding company would be a long-term strategy promising significant appreciation once listed. For over thirty years, this vision of an eventual initial public offering (IPO) has been the standard defense against discussions of liquidity or holding company discounts. However, as of May 2026, that promise remains unfulfilled, raising questions about the future direction of Tata Sons and its governance.
