CCI Greenlights Coursera’s Merger with Udemy
The Competition Commission of India (CCI) has given the green light to the merger between Coursera Inc. and Udemy Inc., marking a significant shift in the online education landscape. This merger will see Udemy, a well-known online learning platform, merge with Chess Merger Sub, a wholly-owned subsidiary of Coursera. Upon completion of this merger, Udemy will continue to operate as a subsidiary of Coursera, providing the latter with complete control over Udemy’s operations.
Under the terms of the proposed combination, existing shareholders of Coursera are expected to retain about 59% of the merged entity, while Udemy’s shareholders are anticipated to hold approximately 41% on a fully diluted basis. This new structure aims to enhance the strength and reach of both companies within the global online education marketplace.
About Coursera and Udemy
Coursera, incorporated in Delaware, is publicly listed and operates as a leading platform in the global education technology sector. Its primary services in India are delivered through cross-border digital means, including its local subsidiary, Coursera India Private Limited. The company focuses on providing accessible and high-quality online education to learners worldwide, leveraging partnerships with universities and organizations.
On the other hand, Udemy, also incorporated in Delaware, runs a global online marketplace for learning and teaching. Unlike traditional education models, Udemy delivers its services entirely online, without reliance on physical infrastructure, thus reaching learners across various demographics internationally.
Looking Ahead
The CCI’s approval is a crucial step towards finalizing the merger, but further details of the Commission’s order will follow. The joining of these two powerhouses in online education is expected to create new opportunities for learners and educators alike, potentially reshaping how educational content is accessed and consumed.
