CCI Approves UPL’s Strategic Business Restructuring

The Competition Commission of India (CCI) has given its nod to a significant restructuring plan involving the UPL group of companies. This approval paves the way for a strategic combination that will streamline operations within UPL Limited and its subsidiaries, enhancing the company’s agility in the agricultural sector.

The parties involved in this proposed combination include UPL Limited, UPL Sustainable Agri Solutions Limited (UPL SAS), UPL Global Sustainable Agri Solutions Limited (UPL 2), and UPL Crop Protection Holdings Limited (Cayman 1), alongside partners such as TPG Upswing Limited, Platinum Jasmine A 2018 Trust, and Woodhall Holdings (DIFC) Limited.

This restructuring involves a multistep process dedicated to the transfer of two key business sectors from UPL Limited. The first is the India crop protection business, currently managed by UPL SAS. The second is the global crop protection business, which is held by Cayman 1 directly and through its subsidiaries. Upon completion of this transaction, both the India and global crop protection businesses will be consolidated under UPL 2, a wholly owned subsidiary of UPL Limited that presently has no operational engagements in India.

UPL Limited is recognized as a global leader in agri-solutions, focused on developing, manufacturing, and selling a wide array of products including pesticides, insecticides, crop protection solutions, bio-solutions, seeds, and services related to post-harvest treatments. UPL SAS, on the other hand, is dedicated to managing the India crop protection segment, providing critical agricultural solutions such as crop protection and seed treatment products throughout India.

Cayman 1, holding the global crop protection business, specializes in both conventional and biosolution products aimed at enhancing agricultural productivity. TPG Inc. stands as a prominent global investment firm that has stakes across diverse sectors, including private equity and technology, while Woodhall Holdings is connected to Brookfield Group, a notable alternative investment management company.
