Persistent CEO Supports Protocols During Nagarro Stock Rally Examination

BENGALURU: Persistent Systems CEO Sandeep Kalra addressed concerns regarding unusual trading activity in Nagarro’s shares prior to the announcement of a $1.3 billion acquisition deal. Kalra emphasized that the company adhered to strict protocols and maintained tight control over access to the transaction. His remarks followed Nagarro CEO Manas Human’s statement to Reuters, indicating that Germany’s financial regulator, BaFin, is expected to investigate the significant rise in Nagarro’s stock before the deal was disclosed.
Nagarro’s shares surged nearly 20% to €40.4 on Friday, just hours before the acquisition was made public. Following the announcement, the stock climbed an additional 88% to around €76, approaching Persistent’s offer price of €81 per share. Kalra noted that only a small team was involved in the transaction, stating, “I would be very disappointed and shocked if anything had leaked from our side.” He added that there was no reason for team members in India to trade, as they lack trading capabilities in Germany.
Persistent’s all-cash bid for Nagarro aims to create a $2.9 billion digital engineering and AI company with over 46,000 employees. However, the market reacted cautiously, with Persistent’s shares falling nearly 11% on Monday to a near 15-month low. Investors expressed concerns regarding the acquisition’s size, integration risks, and Nagarro’s lower margins. Kalra acknowledged that initial reactions to large acquisitions are often negative, as investors may not immediately grasp the strategic rationale. He described the deal as a rare opportunity, suggesting that Persistent may not have pursued an asset of Nagarro’s scale in a stronger market. The combined entity is expected to derive around 65% of its revenue from the US and 22% from Europe.
