HDFC CEO Discusses Areas of Disagreement Among Companies

HDFC Bank’s CEO and Managing Director, Sashidhar Jagdishan, recently addressed the surprising resignation of former chairman Atanu Chakraborty in an interview with The Times of India. Jagdishan expressed his shock at the resignation, noting that there were no prior indications of any issues. He emphasized that while he and Chakraborty had differing views on certain matters, these were handled maturely within the board. The CEO also discussed the potential for an independent investigation into the circumstances surrounding Chakraborty’s departure, as well as the bank’s commitment to addressing any concerns regarding governance and management practices.

Surprise Resignation of Former Chairman

Sashidhar Jagdishan revealed that he learned about Atanu Chakraborty’s resignation only as a board meeting commenced. While some members of the nomination and remuneration committee were informed earlier, Jagdishan was taken aback by the sudden announcement. He described the board’s reaction as one of shock, given Chakraborty’s active role and effective management of the bank. Jagdishan noted that the board had sought clarification from Chakraborty regarding his decision, but he maintained that there were no issues to discuss. The board’s request for Chakraborty to reconsider his resignation was met with steadfastness, leading to the acceptance of his decision.

Commitment to Independent Evaluation

In light of the recent developments, Jagdishan confirmed that the board plans to hold multiple meetings to discuss the situation further. He indicated that the formation of a committee for independent evaluation is under consideration, although he stated that it is too early to determine the specifics. Jagdishan expressed his support for an independent investigation, suggesting that it would be beneficial to include an impartial individual in the committee. He acknowledged the importance of transparency and accountability in governance, emphasizing that any independent review should be conducted thoroughly and without bias.

Addressing Governance Concerns

During the interview, Jagdishan addressed rumors of internal conflicts between him and the former chairman. He clarified that while constructive disagreements are a normal part of governance, they were limited to substantive issues rather than personal disputes. He stressed the importance of open discussions within the board and the need for diverse perspectives on management decisions. Jagdishan expressed pride in his team and the institutional knowledge they bring to the bank, countering perceptions of a power struggle within the organization.

Clarifying Mis-Selling Allegations

Jagdishan also responded to allegations of mis-selling related to the bank’s operations. He clarified that there is no direct link between the recent disciplinary actions taken against employees and Chakraborty’s resignation. The bank’s review process was triggered by regulatory requirements in Dubai, focusing on staff accountability rather than mis-selling. Jagdishan defended the bank’s record, stating that despite its size, HDFC Bank has one of the lowest rates of accepted mis-selling complaints in the industry. He reiterated the bank’s commitment to ethical practices and customer satisfaction, emphasizing the importance of maintaining trust in their services.
