Understanding the Ownership and Leadership Dynamics of Tata

The Tata group is facing a leadership crisis as Tata Sons’ board voted to extend N Chandrasekaran’s term as executive chairman for another five years. This decision comes despite Chandrasekaran’s earlier indication that he would step down when his current term ends on February 20, 2027. The resolution has been met with immediate opposition from Tata Trusts, the majority shareholder, which has rejected the board’s decision, intensifying the ongoing leadership struggle.
The board meeting, which lasted nearly three hours, resulted in a majority vote to reappoint Chandrasekaran. Tata Sons stated that he reconsidered his earlier decision at the board’s request. However, Noel Tata, chairman of Tata Trusts, voted against the proposal, which passed nonetheless. Tata Trusts controls approximately 66% of Tata Sons, and its opposition raises questions about the validity of the board’s decision.
Tata Sons has committed to complying with the Reserve Bank of India’s guidelines and will seek guidance from the RBI and other stakeholders regarding compliance requirements. The RBI had recently rejected Tata Sons’ request to avoid a stock-market listing, further complicating the group’s governance issues.
Chandrasekaran, who has been at the helm since February 2017, became the first non-family member to lead Tata Sons. Under his leadership, the group’s market capitalization has surged from Rs 8.4 lakh crore to over Rs 27 lakh crore. Despite his successes, he has faced mounting pressure due to various challenges, including a deadly Air India crash and a significant cyberattack on Jaguar Land Rover.
Following his announcement in August that he would not seek reappointment, Tata Trusts argued that the board should have initiated a search for his successor. The Trusts maintain that the recent vote to reappoint Chandrasekaran is legally void, as it did not receive the necessary support from both directors nominated by the Trusts. They have also raised concerns about the board’s decision-making process, citing a lack of quorum during a recent general meeting.
